Terms of Service

Welcome to Pasado. By using our app, website, or services, you agree to these Terms of Service ("Terms"). Kung hindi ka okay dito, please do not use the service.

These Terms are a legal agreement between you ("User," "you") and Seed Within Digital Inc.("Pasado," "we," "us," "our"), a corporation incorporated in Ontario, Canada.

1. About Pasado

Pasado is a mobile and web learning application designed to help Filipino nurses prepare for the Philippine Nurse Licensure Examination (PNLE). Pasado provides:

  • 2,500+ board exam-style practice questions across 27 clinical topics
  • Spaced repetition learning system
  • Performance tracking and weak area identification
  • Mobile apps (iOS, Android) and web access

Pasado is operated by Seed Within Digital Inc.

2. Eligibility

To use Pasado, you must:

  • Be at least 18 years old
  • Have legal capacity to enter into a binding contract in your jurisdiction
  • Be a nursing graduate or actively preparing for the PNLE
  • Provide accurate registration information
  • Comply with these Terms and all applicable laws

By creating an account, you confirm you meet these requirements.

3. Your Account

3.1 Account Creation

To use most features, you must create an account by providing:

  • Valid email address
  • A secure password (or Apple/Google SSO)
  • Other required information

You agree to provide accurate, current, and complete information.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately at hello@pasadoapp.com of any unauthorized access

We are not liable for losses caused by unauthorized account access resulting from your failure to maintain credential security.

3.3 No Account Sharing

Account sharing is strictly prohibited. Each subscription is for a single user only. We monitor for sharing patterns and may suspend or terminate accounts found to be shared. This includes:

  • Sharing login credentials with another person
  • Multiple simultaneous logins from different devices/locations indicating shared use
  • Selling, transferring, or sublicensing your account

4. Subscription and Payments

4.1 Pricing

  • Subscription fee: PHP 499 per month
  • Free preview: 20 questions for non-subscribers (no account required)
  • Pricing may change with at least 30 days advance notice to existing subscribers

4.2 Mobile Subscriptions (iOS App Store and Google Play Store)

If you subscribe through Apple App Store or Google Play Store:

  • Billing is handled directly by Apple or Google
  • Refunds are processed by Apple or Google per their respective policies
  • Pasado cannot issue refunds for mobile purchases — you must request refunds directly through Apple Support or Google Play Help
  • Subscription auto-renewal is managed in your Apple ID or Google Account settings

4.3 Web Subscriptions (Stripe)

For web subscriptions paid via Stripe:

  • Subscriptions are non-refundable by default
  • Pasado offers a free 20-question preview before subscription, allowing users to evaluate the service before paying
  • You may cancel your subscription at any time to prevent future charges, but no refund is issued for the current billing period
  • Refund requests for exceptional circumstances (technical issues preventing service use, accidental duplicate charges, fraud) may be reviewed at our discretion — contact hello@pasadoapp.com with your account email and reason

4.4 Subscription Cancellation

You can cancel your subscription anytime:

  • Mobile: Cancel via Apple ID settings (iOS) or Google Play subscription settings (Android)
  • Web: Cancel in your Pasado account settings

After cancellation, you retain access until the end of your current billing period.

4.5 Failed Payments

If a recurring payment fails:

  • We will attempt to retry the payment
  • You will receive notification to update your payment method
  • After repeated failures, your subscription may be suspended

5. Acceptable Use

You agree NOT to:

  • Share your account or login credentials with others
  • Copy, reproduce, or distribute Pasado content (questions, explanations, materials) outside the app
  • Reverse engineer, decompile, or attempt to extract source code or content
  • Use automated systems (bots, scrapers, crawlers) to access or extract content
  • Use Pasado for any commercial purpose without written permission
  • Attempt to gain unauthorized access to other accounts or our systems
  • Disrupt or interfere with the service or other users' use
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other users or our team
  • Use Pasado to violate any applicable laws or regulations
  • Misrepresent your identity or affiliation

Violations may result in immediate account suspension or termination, with no refund.

6. Intellectual Property

6.1 Pasado's Content

All content provided by Pasado, including but not limited to:

  • Practice questions and answer choices
  • Explanations and rationales
  • Curriculum design and topic organization
  • App design, branding, logos, and trademarks
  • Software code and algorithms

is owned by Seed Within Digital Inc. or its licensors and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Pasado for personal, non-commercial study purposes only.

6.2 User-Generated Content

You retain ownership of:

  • Personal notes you create
  • Bookmarks
  • Other content you generate within your account

You grant Pasado a non-exclusive, royalty-free license to store and display your content within your account for the purpose of providing the service.

6.3 DMCA / Copyright Concerns

If you believe content on Pasado infringes your copyright, contact hello@pasadoapp.com with:

  • Description of the copyrighted work
  • Location of the alleged infringing content
  • Your contact information
  • A statement of good-faith belief that use is unauthorized
  • A statement under penalty of perjury that information is accurate

7. Educational Disclaimer

Pasado is a study aid, not a guarantee of exam success.

We do NOT guarantee:

  • That you will pass the PNLE
  • Any specific score or result
  • That all PNLE topics or question types are covered

Your success on the PNLE depends on your effort, preparation, prior knowledge, and many other factors. Pasado is one of many tools you may use to prepare; we encourage diversified study including review centers, textbooks, clinical experience, and other resources.

The content in Pasado is for educational purposes only and is not medical advice. Decisions regarding patient care should be based on your professional clinical judgment and current clinical guidelines, not on Pasado study content.

8. Service Availability and Modifications

8.1 Service Availability

We aim to provide reliable service but cannot guarantee 100% uptime. Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled maintenance for security or critical issues
  • Technical issues, server outages, or third-party service disruptions
  • Force majeure events (see Section 14)

8.2 Service Modifications

We may modify, suspend, or discontinue any aspect of Pasado at any time, including:

  • Adding, removing, or changing features
  • Updating content
  • Modifying user interface or experience

We will provide reasonable notice for material changes that affect existing subscribers.

9. Account Termination

9.1 Termination by You

You may delete your account at any time via in-app settings or by emailing hello@pasadoapp.com.

9.2 Termination by Pasado

We may suspend or terminate your account immediately, without refund, for:

  • Violation of these Terms
  • Fraudulent activity (chargebacks, payment fraud)
  • Account sharing
  • Abusive behavior toward our team or other users
  • Activity that exposes Pasado to legal liability
  • Extended inactivity (12+ months for free accounts)

9.3 Effect of Termination

Upon termination:

  • Your access to paid features ends immediately
  • Your data is handled per our Privacy Policy
  • Sections of these Terms that should survive termination (Sections 6, 7, 10, 11, 12, 13, 17) remain in effect

10. Disclaimer of Warranties

PASADO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free service

To the maximum extent permitted by law, we disclaim all such warranties.

11. Limitation of Liability

To the maximum extent permitted by law:

PASADO AND SEED WITHIN DIGITAL INC. SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Loss of goodwill
  • Failure to pass any examination
  • Any decisions made based on Pasado content

LIABILITY CAP: Our total aggregate liability for any claims arising from or related to these Terms or your use of Pasado shall not exceed the total amount you paid to Pasado in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Seed Within Digital Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of Pasado
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you submit or generate
  • Your account being shared or compromised due to your actions

13. Dispute Resolution

13.1 Good-Faith Negotiation

Before initiating any formal dispute resolution, you agree to first attempt to resolve the dispute by contacting hello@pasadoapp.com. We will respond within 30 days and attempt good-faith resolution.

13.2 Arbitration

If good-faith negotiation fails, disputes shall be resolved through binding arbitration in Ontario, Canada, conducted in English under the rules of the ADR Institute of Canada or equivalent recognized arbitration body.

The arbitrator's decision is final and binding. Arbitration costs are split between the parties unless the arbitrator determines otherwise.

13.3 Exceptions to Arbitration

The following may be brought in court (not arbitration):

  • Small claims court matters within applicable monetary limits
  • Intellectual property infringement claims
  • Injunctive relief for urgent matters

13.4 Class Action Waiver

You agree to bring claims against Pasado only in your individual capacity and not as part of any class action, collective action, or representative proceeding. This waiver is a fundamental element of the arbitration agreement.

13.5 Filipino Users

For Filipino users, Philippine consumer protection laws may still apply to the extent they provide rights that cannot be waived by contract. Filipino users may also pursue remedies through the Department of Trade and Industry (DTI) or other relevant consumer protection agencies.

14. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, typhoons, floods)
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet or telecommunications outages
  • Pandemic or public health emergencies
  • Critical third-party service failures (Supabase, Stripe, Apple, Google outages)
  • Cyber attacks or security incidents

15. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada and applicable federal laws of Canada, without regard to conflict of laws principles.

For Filipino users, Philippine consumer protection laws may also apply where they provide non-waivable rights.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Notify you via email at least 30 days before changes take effect
  • Display an in-app notice
  • Update the "Last updated" date at the top

Your continued use of Pasado after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using Pasado and may delete your account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms agreed to in writing, constitute the entire agreement between you and Pasado regarding the service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision does not waive that right or provision.

17.4 Assignment

You may not assign these Terms or your account. We may assign our rights and obligations under these Terms without restriction (e.g., in case of merger, acquisition, or sale of assets).

17.5 Consent to Electronic Communications

By using Pasado, you consent to receive electronic communications (email, in-app notices) for legal notices, updates to Terms, and service-related information. These communications satisfy any legal requirement that they be in writing.

17.6 Survival

Sections that by their nature should survive termination (Sections 6, 7, 10, 11, 12, 13, 17) remain in effect after your account is terminated.
